Terms of Service

1. Acceptance of Terms

By accessing or using expresstools.com (the “Site”) or placing an order with Express Tools, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please do not use the Site.

These Terms constitute a legally binding agreement between you and Hughes Construction Products Group Inc. (420 Industrial Blvd, Nash TX 75569), the company operating Express Tools. For questions, contact legal@expresstools.com.

2. Products and Pricing

Authorized Dealer

Express Tools is an authorized dealer for Topcon, Trimble, Leica, Spectra Precision, Sokkia, and other brands. All products sold are genuine, new (unless otherwise stated), and eligible for manufacturer warranty support.

Pricing

All prices are displayed in US Dollars. Prices are subject to change without notice. We reserve the right to correct pricing errors. If a pricing error is discovered after you place an order, we will contact you before fulfilling it.

Minimum Advertised Price (MAP) Policy

Price Match Guarantee

Sales tax is calculated at checkout based on your shipping address and applicable state and local tax laws.

3. Order Fulfillment and Shipping

• Orders are subject to acceptance and availability. Placing an order does not guarantee fulfillment.
• We reserve the right to cancel any order for any reason, including pricing errors or suspected fraud. You will receive a full refund if your order is cancelled by us.
• Estimated shipping times are provided as a courtesy and are not guaranteed. Express Tools is not liable for carrier delays.
• Risk of loss passes to you upon delivery to the carrier.
• Shipping rates are calculated at checkout based on destination, weight, and carrier selection.
• We ship to the contiguous United States. Contact us for Alaska, Hawaii, or international shipping inquiries.
• Inspect all deliveries upon receipt. Report visible shipping damage to the carrier immediately and notify us within 48 hours at legal@expresstools.com.

4. Returns and Refunds

Items that show signs of use, are missing components, or have been altered are not eligible for return. Special-order items, calibration services, and software licenses are non-returnable unless defective.

To initiate a return, contact legal@expresstools.com with your order number and reason for return. Do not ship returns without an authorized Return Merchandise Authorization (RMA) number. Returns received without an RMA may be refused or delayed.

Refunds are issued to the original payment method within 5–10 business days of receiving and inspecting the returned item.

5. Warranty

New products sold by Express Tools carry the manufacturer's warranty. Express Tools does not provide, administer, or service any warranty, and does not file or facilitate warranty claims. All warranty coverage is provided solely by the product manufacturer.

To initiate a warranty claim, contact the manufacturer or their authorized service center directly with your model and serial number. If you need a copy of your order details for a claim, email info@expresstools.com and we'll provide them.

Warranty coverage, duration, and terms vary by manufacturer and product. Please refer to the documentation included with your product for specific warranty details.

6. Prohibited Uses

You agree not to use expresstools.com to:

• Engage in fraudulent, deceptive, or illegal activity
• Submit false, misleading, or fraudulent orders or account information
• Attempt to access restricted areas of the Site or circumvent security features
• Scrape, crawl, or systematically download content without our prior written permission
• Interfere with or disrupt the Site's operation, servers, or networks
• Use our AI features to generate false product reviews or misleading content
• Resell products purchased from Express Tools without prior written authorization
• Violate any applicable local, state, national, or international law

Violation of these prohibitions may result in cancellation of your account and orders, and may be reported to appropriate authorities.

Termination by You

You may request deletion of your account at any time by emailing privacy@expresstools.com with the subject line “Account Deletion Request.” We will process your request within 30 days. Certain data may be retained as required by law (see our Privacy Policy, Section 12 — Data Retention). Order history required for tax and accounting compliance may be retained for up to 7 years.

Termination by Us

We reserve the right to suspend or terminate your account at our discretion if:

• You violate these Terms of Service
• We detect fraudulent, abusive, or illegal activity associated with your account
• Required by law or court order
• Your account has been inactive for an extended period and has no open orders or warranties

If your account is terminated by us, we will notify you at your registered email address unless prohibited by law. You may request a copy of your data before account deletion as described in our Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPRESS TOOLS AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Except as set forth in Section 11 (Dispute Resolution and Binding Arbitration), any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Bowie County, Texas, and you hereby consent to the personal jurisdiction and venue of such courts.

11. Dispute Resolution and Binding Arbitration

Informal Resolution First

Before filing any formal legal claim, you agree to contact us at legal@expresstools.com describing your concern in reasonable detail. We will make a good-faith effort to resolve the dispute informally within 30 days.

Binding Arbitration

Key Arbitration Terms

• Seat of arbitration: Bowie County, Texas (hearings may be conducted remotely by mutual agreement)
• Individual basis only: You agree to bring any claim solely in your individual capacity, not as a plaintiff or class member in any class action, collective action, or representative proceeding
• Class action waiver: You and Express Tools each waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration
• Governing rules: AAA Consumer or Commercial Arbitration Rules; available at adr.org
• Costs: AAA filing fees and arbitrator compensation shall be allocated per AAA rules. Each party bears its own attorney's fees unless the arbitrator awards otherwise

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction in Bowie County, Texas, for matters involving intellectual property infringement, unauthorized access, or circumstances where irreparable harm would result from waiting for arbitration.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will update the “Last updated” date at the top of this page. For material changes, we will provide notice via email or a prominent site notice. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
